Senior Manager (f/​m/​d) M&A

Leading pharmaceu­tical company

For our client – a leading pharmaceu­tical company based in the Rhine Main Area – we are currently looking for a Senior Manager (f/​m/​d) M&A.

Respon­si­bi­li­ties

• You lead cross-functional and inter­na­tional teams in acqui­si­tion and divesti­ture projects by managing M&A transac­tions, including carve out coordi­na­tion and transac­tion support throug­hout the life cycle of a deal
• You either support or lead due diligence prepa­ra­tion and acqui­si­tion projects, which includes gathering, verifying and analysing infor­ma­tion as well as outlining risks and oppor­tu­ni­ties for the deal from an overall transac­tion perspec­tive
• Further­more, you support company valua­tions based on market standard tools (DCF, etc.) and various aspects of a share/​asset purchase agreement or ancillary agree­ments by engaging various functions and contri­bu­tors from the cross-functional team
• Utilizing your expertise, you analyse and design different transac­tion struc­tures and their impact on the project, such as share deal/​asset deal, earn out & milestone struc­tu­ring
• Additio­nally, you support post acqui­si­tion activi­ties and hand-over/hand-off to the business and enabling functions

Candidate Profile

• Univer­sity degree in Finance or Business Admini­stra­tion or a scien­tific degree supple­mented with a finance Background, prefer­ably comple­mented by further quali­fi­ca­tions like a CPA or CFA
• Several years of experi­ence in M&A either in a large multi­na­tional Invest­ment Bank/​Boutique, in Corporate M&A, in Private Equity or in BIG4 within M&A
• Track record of successfully managed Projects
• Analy­tical skills, team-oriented attitude and the ability to adapt to new challenges and ideas
• Excellent commu­ni­ca­tion skills in English
• Sound Word, Excel and Power Point skills
